EMRISE CORPORATION ANNOUNCES CHANGE OF AUDITORS RANCHO CUCAMONGA, CALIFORNIA, April 19, 2006- EMRISE CORPORATION (NYSE Arca:ERI), a multi-national manufacturer of defense and aerospace electronic components and communications equipment, today announced that it has discontinued the services of its previous auditors and engaged Hein & Associates LLP (“Hein”) as its new auditors. There were no reportable disagreements on any accounting principles or practices, financial statement disclosure or auditing scope or procedures with the prior auditors. Randolph D. Foote, Chief Financial Officer, stated, “Due to increased audit fees we decided to consider alternative auditing firms that we believe have adequate resources to provide us with the auditing and tax services we require. Our appointment of Hein is expected to result in savings to the Company.” Laurence Finnegan, Jr., Chairman of the Audit Committee, commented, “We are pleased to welcome Hein as our new auditor. Our most recent audit costs had increased substantially. In response to this increase, the Audit Committee decided that it was important to have Mr. Foote implement a thorough search to find a replacement audit firm.
